Terms of Service

1. Agreement to Terms
By accessing and using Beech PPC's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
Beech PPC provides the following services:
- Google Ads account management and optimization
- Google Ads audits and analysis
- PPC training and consultation
- Custom Google Ads scripts and automation
- Related digital marketing services
3. Service Agreement
3.1 Engagement Terms
- All services require a minimum 3-month engagement period
- Services may be extended on a month-to-month basis after the initial period
- Either party may terminate the agreement with 30 days written notice
- Early termination fees may apply as outlined in individual service agreements
3.2 Client Responsibilities
- Provide accurate and complete information about your business and goals
- Grant necessary access to Google Ads accounts and related platforms
- Respond to requests for information and approvals in a timely manner
- Maintain ownership and control of all advertising accounts
- Comply with Google Ads policies and applicable laws
3.3 Service Provider Responsibilities
- Provide professional Google Ads management services
- Maintain confidentiality of client information
- Deliver regular performance reports and updates
- Comply with industry best practices and Google Ads policies
- Provide reasonable support and communication
4. Payment Terms
4.1 Fees and Billing
- Service fees are outlined in individual service agreements
- Payment is due in advance on a monthly basis
- Late payments may incur additional fees
- All fees are non-refundable except as specified in these Terms
4.2 Ad Spend
- Client is responsible for all Google Ads spend
- Ad spend is separate from service fees
- We do not guarantee specific results or ROI
- Client maintains full control over ad spend budgets
5. Performance and Results
While we strive to deliver excellent results, we cannot guarantee specific outcomes. Performance depends on various factors including:
- Market conditions and competition
- Client's business model and pricing
- Website and landing page quality
- Industry and seasonal factors
- Budget and campaign objectives
6. Confidentiality
Both parties agree to maintain confidentiality of all proprietary and sensitive information shared during the course of the engagement. This includes business strategies, financial information, customer data, and technical information.
7. Intellectual Property
7.1 Client IP
Client retains ownership of all intellectual property, including brand assets, content, and business information.
7.2 Service Provider IP
Beech PPC retains ownership of methodologies, processes, and proprietary tools developed in the course of providing services.
8. Limitation of Liability
To the maximum extent permitted by law, Beech PPC's liability is limited as follows:
- Total liability shall not exceed the total fees paid by client in the 12 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for losses resulting from changes in Google Ads policies or platform functionality
- Client assumes responsibility for all advertising spend and related decisions
9. Indemnification
Client agrees to indemnify and hold harmless Beech PPC from any claims, damages, or expenses arising from client's breach of these Terms, violation of applicable laws, or infringement of third-party rights.
10. Termination
10.1 Termination by Client
- 30 days written notice required
- Early termination fees may apply during minimum engagement period
- Client remains responsible for all fees incurred up to termination date
10.2 Termination by Service Provider
- We may terminate for non-payment, breach of terms, or other material violations
- 30 days written notice will be provided when possible
- Immediate termination may occur for serious breaches
11. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or changes in Google Ads platform policies.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Dispute Resolution
Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through mediation or arbitration as agreed by both parties.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with any individual service agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
16. Amendments
These Terms may be amended from time to time. Material changes will be communicated to clients with reasonable notice. Continued use of services after changes constitutes acceptance of the new Terms.
